BY BOOKING AN APPOINTMENT, PURCHASING A PACKAGE, CREATING AN ACCOUNT, OR USING THE SANO PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED, AND AGREED TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT OR USE THE SERVICE.

DISPUTE RESOLUTION: UNLESS YOU TIMELY OPT OUT OF ARBITRATION IN ACCORDANCE WITH THESE TERMS, YOU AND WE AGREE THAT ALL DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION. YOU AND WE WAIVE ALL RIGHTS TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT. SEE SECTION 13 BELOW.

IF YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO YOUR NEAREST EMERGENCY ROOM IMMEDIATELY. SANO IS NOT FOR USE IN MEDICAL EMERGENCIES.

1. Who We Are

Medical services on the Platform are provided by Sano Medical Group, a California professional medical corporation (the "Medical Group"). The Medical Group employs or contracts with the physician(s) who provide your care ("Provider" or "Providers").

Sano Health Management ("Sano Health," "we," "us," "our"), a Florida limited liability company, owns and operates the website at sano.healthcare and any associated mobile applications (collectively, the "Platform").

Sano Health provides administrative, marketing, and technology services to the Medical Group. Sano Health is not a healthcare provider. By using the Platform, you are not entering into a doctor-patient relationship with Sano Health. You may, however, be entering into a doctor-patient relationship with Sano Medical Group and one or more Providers.

2. Who Can Use Sano

To use Sano, you must:

(a) Be at least 18 years old;

(b) Be physically located in California or Florida at the time of medical consultations;

(c) Have a phone or computer with video and internet access;

(d) Provide truthful, accurate, and complete information;

(e) Accept these Terms of Service and the separate Telehealth Consent and GLP-1 Informed Consent.

If you are under 18, you may not use Sano. Sano is not designed for individuals under 13 years old, and we do not knowingly collect information from anyone under 13.

3. The Sano Program

3.1 What's Included

The Sano Membership is a 12-month medical weight management program. For your monthly Membership fee, you receive: (a) an initial telehealth visit with a Provider; (b) ongoing clinical care including monthly check-ins, quarterly video visits, and dose adjustments as appropriate; (c) optional, but recommended lab work ordering and review at three points during the program; (d) unlimited messaging with your care team through the secure Sano Platform.

3.2 Medication is Separate

Medication is not included in your Sano Membership fee. If your Provider prescribes a medication, you will pay the pharmacy directly through their self-pay programs. Sano does not dispense, distribute, or sell medications. We never use compounded versions of FDA-approved medications.

3.3 Lab Work is Separate

Lab work is performed by a commercial lab. You pay the lab directly for blood draws across your 12-month program.

3.4 No Prescription Guarantee

Submitting an intake or paying for a Membership does not guarantee that a Provider will prescribe medication. All clinical decisions, including prescribing, are at the sole clinical discretion of the licensed Provider. If the Provider determines medication is not appropriate for you, you are entitled to a full refund of your Membership fee.

4. Cash-Pay Only — No Insurance, No Federal Programs

Sano Health and Sano Medical Group are not enrolled with, and are not participating providers with, any federal or state healthcare programs (Medicare, Medicaid) or commercial insurance. By choosing to use Sano, you are specifically choosing to receive medical services on a cash basis outside of any federal, state, or commercial payor program.

You agree that:

(a) You have sole financial responsibility for all services or products provided to you through Sano;

(b) Neither you, Sano Health, the Medical Group, the Providers, nor any partner pharmacy or lab will submit a claim for reimbursement to any federal or state healthcare program or commercial insurance for the costs of services or products provided to you through Sano.

5. The 12-Month Membership Commitment

5.1 12-Month Term

The Sano Membership is a 12-month program. By enrolling, you commit to the full 12-month term. We commit to you for the same 12 months. The clinical research is clear: the biggest improvements occur between months 4 and 12, and patients who stop early often regain weight.

5.2 Monthly Payment

You authorize Sano Medical Group to charge your designated payment method automatically each month for your Membership fee. By default, payment is paid full. You may also choose to pay in three installments or 12 monthly payments at enrollment.

5.3 No Refunds

Sano Memberships are non-refundable once the 12-month term has begun. You may stop receiving active clinical care at any time, but your monthly Membership fee continues through your 12-month term. If you stop active care, you remain financially responsible for the remaining Membership fees.

5.4 Florida 3-Day Cancellation Right

If you are a Florida resident, you have a 3-business-day cancellation right under Florida Statute § 501.0573. To cancel within this period, email hello@sano.healthcare within 3 business days of enrollment for a full refund. After 3 business days, the 12-month Membership is non-refundable as stated in Section 5.3.

5.5 Renewal at End of 12 Months

At the end of your 12-month term, your Membership will not auto-renew unless you affirmatively choose to continue. Before your term ends, Sano will contact you to discuss renewal options.

5.6 Exception — Provider Denies Prescription at Intake

If, during your initial intake visit, the Provider determines that medication is not appropriate for you, you may cancel the Membership and receive a full refund within 7 days of your initial visit. This exception does not apply after you have begun medication.

6. Telehealth

All visits with Providers occur by video, audio, or asynchronous portal communication. You must be physically located in California or Florida at the time of your visit. Telehealth has potential benefits and potential risks, which are described in detail in the separate Telehealth Consent you signed at enrollment. You may withdraw consent to telehealth at any time, but Sano does not offer in-person care; withdrawal of consent ends your active treatment.

7. Communications

By using Sano, you consent to receive electronic communications from Sano Health, Sano Medical Group, and your Providers, including emails, SMS messages, in-platform messages, and push notifications. These may include appointment reminders, care team messages, dose instructions, lab results, billing notices, and promotional communications. You may opt out of promotional communications at any time. Service-related communications cannot be opted out of while you are an active Member.

8. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at hello@sano.healthcare if you suspect unauthorized access. You agree to provide accurate, current, and complete information at all times.

9. Prohibited Conduct

You agree not to: (a) use Sano for any unlawful purpose; (b) provide false information; (c) impersonate any person; (d) interfere with Platform security; (e) reverse engineer the Platform; (f) use automated systems to access the Platform; (g) infringe any intellectual property rights; (h) transmit malicious code; (i) sell, transfer, or share your account; or (j) use Sano in a manner that would violate any applicable law.

10. Intellectual Property

All content on the Sano Platform, including text, graphics, logos, images, software, and the "Sano" name and trademark, is owned by Sano or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-transferable, revocable license to use the Platform solely for your personal use as a Member. You may not reproduce, distribute, modify, or create derivative works without Sano's written permission.

11. Information You Submit

Any information you submit to Sano Health, the Medical Group, or your Providers (other than protected health information, which is governed by HIPAA and the Notice of Privacy Practices) becomes the property of Sano to the extent necessary to provide services to you and to operate the Platform. We will use such information in accordance with our Privacy Policy. Information you submit will not be sold to third parties for advertising.

12. Disclaimers and Limitation of Liability

THE SANO PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SANO HEALTH, SANO MEDICAL GROUP, THE PROVIDERS, AND ALL THIRD-PARTY SERVICE PROVIDERS (INCLUDING PHARMACIES AND LABS) DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

INDIVIDUAL RESULTS VARY. SANO DOES NOT GUARANTEE ANY SPECIFIC WEIGHT LOSS OR HEALTH OUTCOME. RAPID WEIGHT LOSS MAY BE ASSOCIATED WITH HEALTH RISKS. CONSULT YOUR PRIMARY CARE PHYSICIAN BEFORE STARTING ANY WEIGHT MANAGEMENT PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY LAW, SANO SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, EMOTIONAL DISTRESS, OR ANY OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES RECEIVED THROUGH THE PLATFORM.

SANO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID SANO IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND U.S. DOLLARS ($1,000), WHICHEVER IS GREATER.

ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO THE CLAIM.

13. Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

13.1 Agreement to Arbitrate

Except for matters specified in Section 13.4 below, all disputes between you and Sano Health, Sano Medical Group, or any Provider arising from or relating to these Terms of Service, the Platform, or any services received through the Platform shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures.

13.2 Class Action Waiver

YOU AND SANO MEDICAL GROUP AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. NO ARBITRATION SHALL BE CONSOLIDATED WITH ANY OTHER ARBITRATION OR PROCEEDING.

13.3 Informal Resolution First

Before initiating arbitration, you must first contact us at hello@sano.healthcare with a written description of your dispute. We will attempt to resolve the dispute within 30 days of receiving your notice. If we cannot resolve it within 30 days, either party may initiate arbitration.

13.4 Exceptions

The following matters are not subject to arbitration: (a) small claims court actions for disputes within that court's jurisdiction; (b) injunctive relief for intellectual property violations; (c) disputes that, under applicable law, cannot be arbitrated.

13.5 Location and Costs

Arbitration will take place in San Diego County, California, or, at your election, in the county where you reside. Each party bears its own legal fees unless a governing statute provides otherwise. JAMS administrative fees and arbitrator fees will be allocated under the JAMS Consumer Arbitration Minimum Standards.

13.6 Opt-Out Right

You may opt out of this arbitration agreement within 30 days after first becoming subject to it by sending an email to hello@sano.healthcare with the subject line "Arbitration Opt-Out." Your notice must include your full name, address, email associated with your account, and a clear statement that you opt out. Opting out does not affect any other section of these Terms.

13.7 Federal Arbitration Act

These Terms evidence a transaction in interstate commerce. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

14. Governing Law and Jurisdiction

These Terms are governed by California law, without regard to conflict of laws principles. To the extent any dispute is not subject to arbitration, the parties consent to exclusive jurisdiction of the state and federal courts located in San Diego County, California.

15. Termination

You may cancel your Membership at any time per Section 5. We may suspend or terminate your account for violation of these Terms, for non-payment, for fraud or misrepresentation, for conduct that endangers the safety of our staff or other Members, or for any other reason permitted by law. Termination does not relieve you of payment obligations for the remainder of your 12-month term, except in cases where we terminate for our own reasons unrelated to your conduct.

16. Modifications to These Terms

We may modify these Terms from time to time. Material changes will be communicated to you by email or in-platform notification with at least 30 days' advance notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the modified Terms. If you do not accept the changes, you may cancel your Membership in accordance with Section 5; however, the 12-month commitment continues to apply.

17. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy, the Telehealth Consent and GLP-1 Informed Consent, the Program Agreement, and the Notice of Privacy Practices, constitute the entire agreement between you and Sano regarding your use of the Platform.
